Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites and software products operated by Stratamize LLC ("Stratamize," "we," "us," or "our"), including our vending platform, Stratamize POS, CRM, voice AI, and automations (together, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and accounts

The Services are intended for businesses and the people who operate them. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of any account credentials, and for all activity that occurs under your account.

2. Acceptable use

You agree not to:

• Use the Services in violation of any applicable law or regulation;
• Send messages or conduct outreach without the consent required by law, including the consent described in our SMS Terms & Consent;
• Upload or process content you do not have the right to use, or that is unlawful, harmful, or infringing;
• Attempt to disrupt, reverse engineer, or gain unauthorized access to the Services or related systems.

3. Customer data and responsibilities

You retain ownership of the data you submit to the Services. You are responsible for the lawfulness of that data and for obtaining any consents required to process it, including for SMS and email outreach. We process your data to provide the Services and as described in our Privacy Policy.

4. Messaging and communications

Communications features, including SMS and email, are governed by our SMS Terms & Consent and applicable law, including the TCPA and CAN-SPAM Act. You agree to use these features only with recipients who have provided the required consent and to honor opt-out requests.

5. Intellectual property

The Services, including their software, design, and content, are owned by Stratamize and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. No other rights are granted.

6. Third-party services

The Services may integrate with or rely on third-party providers (such as messaging, payment, and hosting providers). Your use of those services may be subject to their own terms, and we are not responsible for third-party services.

7. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by law, Stratamize will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Services.

9. Indemnification

You agree to indemnify and hold harmless Stratamize from claims, damages, and expenses arising out of your use of the Services, your data, or your violation of these Terms or applicable law, including messaging and consent laws.

10. Termination

We may suspend or terminate access to the Services if you violate these Terms or use the Services in a manner that creates risk or legal exposure. You may stop using the Services at any time.

11. Governing law

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. Disputes will be resolved in the courts located in Georgia, unless otherwise required by applicable law.

12. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date above when we do. Continued use of the Services after an update constitutes acceptance of the revised Terms.
