The plain-English shape of our terms: Stratamize POS is billed month-to-month at a flat monthly rate — no long-term contract. Your store's data lives in its own private database and exports free any day you ask. Card-processing rates are quoted in writing, per merchant, before you sign anything. Cancel anytime and the subscription simply ends at the close of the billing period. The sections below say the same thing formally.
These Terms of Service ("Terms") are an agreement between Stratamize LLC, a Georgia limited liability company based in Newnan, Georgia, USA ("Stratamize," "we," "us"), and the business or person using this website or the Stratamize POS software and related services (the "Service"). By using the website or the Service you accept these Terms. If you use the Service on behalf of a business, you represent that you have authority to bind that business, and "you" means the business. If your business has a separately signed agreement or order form with Stratamize, that signed document controls wherever it differs from these Terms.
Stratamize POS is point-of-sale software for retail businesses: registers and cash-drawer management, inventory with purchase orders and transfers, customer profiles and loyalty, employee time clock and scheduling, reporting, and integrated card payments through payment terminals. We may improve, add, or modify features over time; we will not materially reduce the core functionality your subscription includes without notice.
Card processing is provided under a separate merchant agreement with a payment-processing partner, not under these Terms. Rates and terms for processing are quoted in writing for your business before you sign. Stratamize is not a bank and does not hold your settlement funds. Chargebacks, reserves, and settlement timing are governed by your processing agreement and card-network rules.
All business data you enter into the Service — products, sales, inventory, customers, loyalty, employee records, reports — is yours. You grant us only the limited license needed to host, process, back up, and display it to run the Service for you. You can export your data free of charge at any time, including after cancellation during a reasonable wind-down period. We may use de-identified, aggregated data (which identifies neither your business nor any person) to operate and improve the Service. Our handling of personal information is described in the Privacy Policy.
Payment terminals and other hardware you purchase are covered by the manufacturer's warranty. Except as stated in a signed order form, hardware is sold as-is by Stratamize, with the manufacturer's warranty passed through to you where transferable.
We work to keep the Service available and performant, but we do not promise uninterrupted or error-free operation, and scheduled maintenance may occasionally require downtime. Support is available through the built-in support-ticket system in the Service and by email. Any specific uptime or response-time commitment must be stated in a signed agreement to apply.
Stratamize owns the Service — the software, design, and documentation — and all related intellectual-property rights. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for your business while your subscription is active. Feedback you volunteer about the Service may be used by us without obligation.
You may cancel at any time as described in Section 3. We may terminate or suspend the Service for material breach of these Terms that remains uncured after reasonable notice, or immediately where required to prevent harm or comply with law. On termination, your right to use the Service ends; your right to export your data survives for a reasonable wind-down period, after which data is deleted or de-identified as described in the Privacy Policy.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR A SIGNED AGREEMENT, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," AND STRATAMIZE DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE SERVICE IS A BUSINESS TOOL; IT IS NOT LEGAL, TAX, OR ACCOUNTING ADVICE, AND YOU REMAIN RESPONSIBLE FOR YOUR BUSINESS'S COMPLIANCE OBLIGATIONS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO THE SERVICE. STRATAMIZE'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE FEES YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY TO A PARTY'S FRAUD OR WILLFUL MISCONDUCT, OR WHERE THE LAW DOES NOT ALLOW THEM.
You will defend and indemnify Stratamize against third-party claims arising from your data, your products or services, or your use of the Service in violation of these Terms or applicable law. Stratamize will defend and indemnify you against third-party claims that the Service, as provided by us and used as permitted, infringes a United States intellectual-property right.
These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules. The state and federal courts located in Georgia have exclusive jurisdiction over disputes arising from these Terms or the Service, and each party consents to venue there. Before filing any claim, the parties will first attempt in good faith to resolve the dispute informally by written notice and discussion for thirty (30) days.
We may update these Terms from time to time. When we do, we will change the effective date at the top of this page and, for material changes affecting active merchants, give notice through the Service or by email before the change takes effect. Continued use of the Service after the effective date constitutes acceptance; if you do not agree, you may cancel as described in Section 3.
These Terms, together with any signed order form or agreement and the Privacy Policy, are the entire agreement between you and Stratamize about the Service. If any provision is found unenforceable, the rest remains in effect. Neither party is liable for delay caused by events beyond its reasonable control. You may not assign these Terms without our consent, except to a successor of your business; we may assign them to a successor of ours.
